Legal Director, Capital Markets
in a biotech company focused on the discovery, design and development of innovative peptide-based medicines
As our new Legal Director, Capital Markets, you will be responsible for providing legal advice and support in various aspects of capital markets. You will work closely with Zealand management, internal stakeholders, and external parties to ensure compliance with regulatory requirements, negotiate and draft relevant transactional documents, mitigate legal risks associated with capital markets activities and deal with the Danish Financial Services Authority and take ownership of Zealand’s Market Abuse Regulation (MAR) responsibilities.
This role requires a deep understanding of securities laws, financial regulations, and market practices in Denmark. You will report to the General Counsel.
The role is a newly created position in our legal department and will have a one lawyer reporting to it. If you are motivated by the opportunity to establish Capital Markets as an independent area, then keep reading.
Responsibilities:
Capital Markets Transaction Structuring: Assist in structuring and executing capital markets transactions, including potential offerings, debt offerings, equity offerings, and other securities related transactions.
Legal Due Diligence: Conduct comprehensive legal due diligence on securities offerings, including reviewing disclosure documents, financial statements, and regulatory filings to ensure compliance with applicable laws and regulations in Denmark and the European Union.
Regulatory Compliance: Stay abreast of changes in securities laws and regulations and provide guidance to clients and internal stakeholders on compliance issues related to capital markets activities.
Document Drafting and Negotiation: Draft and negotiate transactional documents, including underwriting agreements, purchase agreements, prospectuses, and offering memoranda.
Client Advisory: Provide legal advice and strategic guidance to clients on a wide range of capital markets matters, including corporate governance, shareholder rights, and disclosure obligations.
Risk Management: Identify and assess legal risks associated with capital markets transactions and develop strategies to mitigate such risks. Function as a point of contact and leader of the Zealand disclosure committee.
Collaboration: Collaborate with internal teams, including investment bankers, corporate finance professionals, investor relations and compliance officers, to facilitate seamless execution of capital markets transactions.
Relationship Management: Build and maintain strong relationships with clients, including Zealand’s Management, Zealand’s Board, Zealand’s investor relations, shareholders, proxy advisors, regulators, and external counsel to support efforts and enhance and explain the firm's reputation in the market.
Management of Annual Reporting and Annual General Meetings: Direct responsibility for and management of shareholder interaction during the Annual Reporting and Annual General Meeting Process. Management and oversight of Proxy Solicitors and Computershare. Management of the Annual General Meeting and the Annual Reporting Obligations.
Candidate Profile:
Education: A Law Degree from an accredited law school. Admission to the bar in the relevant jurisdiction is required.
Experience: At least 5 years of experience practicing law in the field of capital markets, preferably with a reputable law firm or financial institution. Experience with securities offerings, DFSA regulations, and corporate governance matters is highly desirable.
Team Player: Provide leadership and mentoring to a direct report, engage in stakeholder management internally and externally. Enhance and build on Zealand’s unique culture.
Legal Expertise: In-depth knowledge of securities laws, regulations, and market practices. Strong understanding of financial instruments, including equities.
Analytical Skills: Excellent analytical and critical thinking skills with the ability to assess complex legal issues and develop practical solutions.
Communication: Exceptional written and verbal communication skills, with the ability to articulate complex legal concepts clearly and effectively to clients and stakeholders.
Collaborator: Proven ability to work collaboratively in a fast-paced, dynamic environment, both independently and as part of a team.
Attention to Detail: Meticulous attention to detail and a commitment to delivering high-quality work products within tight deadlines.
